M&A (Private Equity) Senior Associate or Of Counsel

About the position

A highly regarded corporate legal team is seeking an experienced attorney (5+ years) to join its Mergers & Acquisitions (Private Equity) practice in Dallas. This role offers the opportunity to work closely with private equity firms and their portfolio companies, handling complex transactions, leveraged buyouts, and equity investments in a dynamic and fast-paced environment.

 

Key Responsibilities:

  • Advise private equity firms and portfolio companies on M&A, leveraged buyouts, and corporate transactions
  • Draft and negotiate purchase agreements, merger documents, LLC and LP agreements, and other transaction-related contracts
  • Counsel clients on incentive equity structures, co-investment arrangements, and principal terms
  • Provide strategic guidance on private equity fund structures and documentation
  • Manage transaction workflow, due diligence, and closing processes

 

Qualifications:

  • JD from an ABA-accredited law school, with top academic credentials
  • 5+ years of experience advising private equity firms on mergers, acquisitions, and corporate finance transactions
  • Licensed in Texas or eligible for admission
  • Strong negotiation, drafting, and client advisory skills
  • Experience in management equity arrangements and PE fund structures is a plus

 

Compensation & Benefits:

  • Salary range: $325,000 - $375,000, based on experience and role level (Senior Associate or Of Counsel)
