Paralegal - Real Estate 59198

Our client, a respected law firm in the Houston area, is seeking a skilled and detail-oriented Real Estate/Transactional Paralegal to join their team. This is an excellent opportunity for a seasoned professional with a strong background in commercial real estate transactions.

Key Responsibilities:

• Draft and revise purchase and sale agreements based on client and attorney feedback

• Prepare closing documents, including Deeds, Bills of Sale, and Assignments of Leases and Security Deposits

• Conduct title and survey reviews and identify exceptions

• Facilitate title clearance by coordinating with title companies and preparing necessary documentation

• Draft and review easements and surface waivers

• Analyze mineral reservations and assess applicability to subject properties

• Review and analyze commercial and residential leases

• Prepare promissory notes, deeds of trust, assignments of leases and rents, financing statements, and guaranties

• Draft and organize corporate entity documents, including resolutions for corporations, partnerships, and LLCs

• Monitor and manage due diligence checklists

• Ensure compliance with the Texas Property Code, Business Organizations Code, and Business and Commerce Code

• Check name availability and reserve business names as needed

• Draft and file articles of formation, bylaws, company agreements, assumed names, and federal employer identification number applications

• Prepare corporate minutes and maintain corporate records

Qualifications:

• Bachelor's degree, paralegal certificate, or relevant professional experience as a Real Estate Paralegal in a law firm setting

• Significant experience with title and survey review and analysis

• Strong organizational, communication, and analytical skills

• Proactive, self-motivated, and capable of working independently with minimal supervision

• Team-oriented with a commitment to efficiency and resourcefulness
